This AI Services Addendum ("AI Addendum") supplements and is incorporated into the Mux Terms of Service (the "Terms"). Capitalized terms used but not defined in this AI Addendum have the meanings given to them in the Terms. In the event of a conflict between this AI Addendum and the Terms, this AI Addendum will control solely with respect to your use of the AI Services (as defined below).
"AI Output" means any text, metadata, translations, summaries, transcriptions, labels, chapters, moderation signals, or other content generated by the AI Services in response to Customer Data submitted through the AI Services.
"AI Services" means the artificial-intelligence-powered features and functionalities made available by Mux under the brand name "Mux Robots" (or any successor name), including but not limited to transcription, summarization, content moderation, translation, chapter generation, and related capabilities, each as further described in the Documentation. For clarity, the AI Services include the Early Access Features. The AI Services operate on Customer Data transmitted via the Mux Video Services and are accessed through the Mux dashboard or dedicated Mux application programming interfaces.
"AI Vendor" means a third-party artificial intelligence inference provider engaged by Mux to perform processing operations in connection with the AI Services. The current list of AI Vendors is maintained in Appendix A (Mux AI Sub-Processors) of this AI Addendum, as updated from time to time in accordance with Section 3.4 below.
"Early Access Features" means the AI-powered features and capabilities made available through the AI Services during the Early Access Program.
"High Risk Activity" means any use of AI Output (a) as the sole or primary basis for decisions that produce legal effects or similarly significant effects on individuals (including decisions relating to employment, credit, housing, insurance, or law enforcement); (b) for clinical, diagnostic, or therapeutic purposes in healthcare (including automated processing of telehealth or patient video or audio recordings); (c) that constitutes automated decision-making subject to regulatory requirements under applicable law (including Article 22 of the GDPR or equivalent provisions); or (d) that otherwise constitutes a prohibited, high-risk, or unacceptable-risk use under applicable artificial intelligence laws or regulations.
The AI Services are not enabled by default. An Organization Administrator may activate the AI Services on behalf of Customer by enabling them through the Mux dashboard. By completing the activation, the Organization Administrator represents that they have authority to bind Customer, and Customer acknowledges and agrees to the terms of this AI Addendum. No Customer Data will be transmitted to any AI Vendor unless and until the AI Services have been activated and an AI Request is submitted. You agree to provide Mux with information regarding your use of the AI Services upon Mux's reasonable written request, including information necessary for Mux to verify compliance with this AI Addendum or to respond to inquiries from regulators or AI Vendors.
3.1. Scope of Processing. When you submit an AI Request, Mux will transmit the relevant Customer Data (which may include video, audio, and associated metadata) to one or more AI Vendors solely for the purpose of generating AI Output in response to your AI Request.
3.2. No Training on Customer Data. Mux contractually requires each AI Vendor to refrain from using Customer Data to train, fine-tune, or otherwise improve any machine-learning or artificial intelligence model. Mux will not itself use Customer Data submitted through the AI Services to train any Mux-owned or third-party model. For clarity, nothing in this Section 3.2 limits the rights granted to Mux under Section 2.2 of the Terms (Rights to Data) with respect to aggregate and anonymous data.
3.3. Data Retention by AI Vendors. Mux will use commercially reasonable efforts to ensure that each AI Vendor deletes or returns Customer Data promptly after processing and does not retain Customer Data beyond the period necessary to generate the applicable AI Output, subject to AI Vendor retention policies that Mux has reviewed and approved.
3.4. Sub-Processors and the DPA. To the extent the AI Services involve the processing of Personal Data (as defined in the DPA), the terms of the DPA apply to such processing. Upon first use of the AI Services or first submission of an AI Request, you are providing specific written authorization for the engagement of the AI Vendors set forth in Appendix A (Mux AI Sub-Processors) of this AI Addendum as Mux's Sub-Processors solely with respect to the AI Services and subject to the restrictions set forth in Section 7.2 of the DPA. Mux selects the AI Vendor(s) used for each AI Request in its discretion. In accordance with Applicable Law, Mux also has your general authorization to engage new AI Vendors from time to time in accordance with the Sub-Processor notification and objection procedures set forth in Section 7.3 of the DPA (including at least thirty (30) days' prior notice and a fourteen (14) day objection period). All references to "Sub-Processors" and "Exhibit 3" in the DPA shall be interpreted to include the AI Vendors and Appendix A (Mux AI Sub-Processors), respectively, solely with respect to the AI Services. Section B.5 of Exhibit 1 (Details of the Processing) of the DPA shall be amended, solely with respect to the AI Services, to include the definition of "AI Services" (as set forth in Section 1 above) as an additional description of the subject matter and nature of the processing of Personal Data performed under the DPA.
4.1. Ownership of Customer Data. As between you and Mux, you retain all right, title, and interest in and to Customer Data, consistent with Section 2.2 of the Terms.
4.2. Ownership of AI Output. As between you and Mux, you own all AI Output generated from your Customer Data. Mux does not claim any ownership interest in AI Output. You acknowledge that AI Output is generated by machine-learning models and that identical or substantially similar output may be generated for other customers using different input data.
4.3. License to Mux. You grant Mux the right to use Customer Data and AI Output solely to the extent necessary to provide, maintain, and improve the AI Services, consistent with the license granted under Section 2.2 of the Terms. For clarity, Mux's use of AI Output for purposes of improving the AI Services will be limited to aggregate and anonymized data.
5.1. Compliance. You are responsible for ensuring that your use of the AI Services, including the submission of Customer Data and your use of AI Output, complies with all applicable laws and regulations, including those relating to data protection, privacy, intellectual property, and the use of artificial intelligence. You represent and warrant that you have all necessary rights, licenses, and consents to submit Customer Data to the AI Services, including any consents required for AI-based processing.
5.2. End User Consents for Audio and Video Processing. Certain AI Services (including transcription, speech-to-text, and audio analysis features) involve the automated processing of audio and video recordings that may contain the voices, images, or communications of end users or other third parties. Where applicable law requires informed consent or notice for such processing — including consent for automatic speech recognition, real-time transcription, recording, or AI-based analysis of communications — you are solely responsible for obtaining and maintaining all required consents prior to submitting such Customer Data to the AI Services ("End User Consents"). You will maintain appropriate records of all End User Consents and will promptly provide evidence of such End User Consents to Mux upon Mux's reasonable written request.
5.3. Review of AI Output. You acknowledge that AI Output is machine-generated and may contain errors, inaccuracies, or content that does not meet your expectations. You are solely responsible for reviewing, verifying, and validating all AI Output before any use, publication, or distribution. Mux is not responsible for any decisions or actions taken in reliance on AI Output.
5.4. Prohibited Uses. In addition to the restrictions set forth in Section 3 of the Terms (Acceptable Use), you agree that you will not use the AI Services: (a) to generate content that is unlawful, harmful, or violates the rights of any third party; (b) to develop your own artificial intelligence or machine learning products, services, models, or technology, including by using AI Output to train, fine-tune, or improve any machine learning model (other than models provided to you by Mux as part of the AI Services); (c) to mislead any person into believing that AI Output was solely human-generated; (d) for any High Risk Activity; (e) to submit Customer Data for which you have not obtained sufficient consents for AI-based processing; or (f) in any manner that violates the applicable AI Vendor's acceptable use terms as provided on the Vendor's websites. You are responsible for reviewing and complying with each AI Vendor's acceptable use terms as they apply to Customer Data processed through the AI Services.
6.1. No Warranty of Accuracy. THE AI SERVICES AND AI OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MUX DOES NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, ERROR-FREE, OR FIT FOR ANY PARTICULAR PURPOSE. MUX DISCLAIMS ALL WARRANTIES WITH RESPECT TO AI OUTPUT, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.2. Third-Party AI Vendors. You acknowledge that the AI Services rely on third-party AI Vendors whose models and capabilities are outside of Mux's direct control. Mux is not responsible for the performance, availability, or output quality of any AI Vendor's models or services. AI Vendor models may be updated, modified, or deprecated by the AI Vendor without prior notice to Mux or to you, and such changes may affect the AI Output.
6.3. Limitation of Liability. Your use of the AI Services is subject to the limitations of liability set forth in Section 10 of the Terms. Without limiting the foregoing, in no event will Mux be liable for any damages arising from or related to: (a) any inaccuracy, incompleteness, or other deficiency in AI Output; (b) your reliance on AI Output; (c) any act or omission of an AI Vendor; or (d) any modification, suspension, or discontinuation of any AI Vendor's model or service.
Mux may modify, suspend, or discontinue any aspect of the AI Services at any time, including by adding or removing AI Vendors (subject to Section 3.4 above), changing the models used, or altering the features and capabilities of the AI Services. Mux will use reasonable efforts to provide notice of material changes to the AI Services through the Documentation or other reasonable means.
This AI Addendum is effective as of the date you first submit an AI Request and will remain in effect for as long as you use the AI Services or the Terms remain in effect, whichever is longer. You may cease use of the AI Services at any time by discontinuing AI Requests. Termination of the Terms will automatically terminate this AI Addendum. Sections 3.2, 3.3, 4, 6, and this Section 8 will survive any termination or expiration of this AI Addendum. Customer may discontinue use of an Early Access Feature and/or participation in the Early Access Program by contacting the Mux customer support team at support@mux.com.
This AI Addendum, together with the Terms and the DPA, constitutes the entire agreement between you and Mux with respect to the AI Services. All other provisions of the Terms (including the arbitration and class action waiver provisions in Section 12) apply to this AI Addendum and your use of the AI Services.
In addition to the sub-processors identified in Exhibit 3 (Mux SubProcessors) of the DPA, Mux has engaged the following AI Vendors to perform AI-related processing operations in connection with the AI Services. The subject matter and nature of the processing for purposes of Exhibit 3 of the DPA are "Artificial Intelligence services," including the "Purpose of Processing" and "Workflows" identified below.
As our AI Services, and business and technical requirements, change, the AI Vendors identified below may perform additional or different services for us in connection with the AI Services. For example, an AI Vendor currently used for LLM inference may in the future also be used for audio transcription. As we make changes to the services each AI Vendor may perform in connection with the AI Services, we will update this Appendix A accordingly.
